TERMS OF SERVICE

Mymuddypies Holdings LLC and its wholly owned operating subsidiary, Mymuddypies Works LLC (collectively, the “Company,” “we,” “us,” or “our”) operate the online storefronts, digital channels, and pop-up retail venues covered by these Terms of Service (“Terms”). These Terms govern your access to and use of our website, ecommerce platforms, and in-person sales channels.

By browsing our platforms, creating an account, requesting a custom commission, or purchasing an item, you agree to these Terms.

1. Corporate Structure and Operations

·       Ownership: Intellectual property, brand assets, and related business assets are owned by Mymuddypies Holdings LLC.

·       Operations: Retail sales, inventory handling, point-of-sale activities, fulfillment, and event operations are managed by Mymuddypies Works LLC.

·       Claims Related to Operations: To the extent permitted by law, claims arising from retail sales, order fulfillment, shipping, or event operations should be directed to Mymuddypies Works LLC, the entity responsible for those activities.

2. Inventory and Sales Channels

·       Multi-Channel Sales: We sell artwork through our website, third-party ecommerce platforms, and in-person pop-up events.

·       Inventory Accuracy: Because online and in-person sales may occur at the same time, inventory updates may be delayed. If an item becomes unavailable before inventory is updated, we may cancel the order and issue a full refund.

·       Pricing and Listing Errors: We reserve the right to correct pricing, listing, and inventory errors and to cancel any order affected by such errors, with a full refund if payment has already been processed.

3. Final Sale Policy and Product Variations

·       Product Variations: Original artwork, prints, and handmade items may include natural variations in texture, framing, color, and finish. We make reasonable efforts to display items accurately, but colors and appearance may vary between screens and the physical item.

·       Final Sales: Unless otherwise required by law, sales of original artwork, custom prints, and custom commissions are final. We do not accept returns or exchanges for buyer’s remorse.

4. Custom Commissions

For custom commissions and one-of-a-kind installations, the following terms apply:

·       Deposit: A non-refundable deposit of at least 50% is required before design work, sketching, or material sourcing begins.

·       Approval: We may provide sketches, mockups, or concept materials for your review. Written approval by email is sufficient to begin production. If we do not receive a response within ten (10) business days, we may treat the concept as approved and proceed.

·       Revisions: Changes requested after approval may result in an additional revision fee of up to 15% of the total commission price, depending on the scope of the change.

·       Final Payment: The remaining balance must be paid before shipment or delivery. Ownership of the commissioned piece does not transfer until payment is received in full. If the balance remains unpaid for thirty (30) days after final notice, we may cancel the order and retain the deposit, and we may resell the work to recover costs.

5. Shipping and Delivery

·       Packaging: We use packaging materials designed to help protect fragile artwork during shipment.

·       Tracking and Insurance: Shipped orders include tracking, and certain orders may include insurance or carrier protection depending on the shipment.

·       Risk of Loss: Risk of loss passes to the customer when the order is delivered to the carrier, to the extent permitted by law.

·       Damage Claims: If your order arrives damaged, contact us within forty-eight (48) hours of delivery and include photos of the packaging and item. Please keep the original packaging materials while the carrier claim is reviewed.

6. Governing Law and Venue

These Terms, all sales, all custom commissions, and any dispute arising out of or related to the Company’s digital platforms, retail operations, or deliveries are governed by the laws of the State of Texas and, where applicable based on the transaction, the laws of the State of New Mexico, without regard to conflict-of-law rules. Any lawsuit, claim, or legal proceeding relating to a purchase, commission, delivery, event participation, or other interaction with the Company must be brought in a court of competent jurisdiction in the state where the transaction occurred or where the applicable operating entity maintains its principal place of business.

7. Intellectual Property

All website content, images, text, branding, artwork, product descriptions, and related materials are owned by or licensed to the Company and are protected by applicable intellectual property laws. Except as expressly permitted in writing, you may not copy, reproduce, distribute, modify, or use our content for commercial purposes.

8. Prohibited Uses

You may not use our website or services for unlawful purposes, to interfere with the operation of our website, to attempt unauthorized access to our systems, or to misuse our content, ordering process, or payment systems.

9. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, our website, services, and products are provided “as is” and “as available.” We disclaim implied warranties except where such disclaimers are not permitted by law. To the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special, or consequential damages arising out of or related to your use of our website, services, or products.

10. Payment Disputes and Chargebacks

If you believe there is an error with a charge, please contact us first so we can review the issue. We reserve the right to provide order records, shipping records, communications, and related documentation in response to payment disputes or chargebacks.

11. Events Beyond Our Control

We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including carrier delays, severe weather, natural disasters, supply interruptions, labor disruptions, or technology outages.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this document. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
